The duties of Nomination Committee include the preparation and drafting of proposals regarding the election of the Chairman of the Annual General Meeting, the Chairman of the Board and Board members, and auditors. The Nomination Committee shall also propose remuneration to Board members and auditors.
The Nomination Committee should comprise representatives for the four principal shareholders in terms on September 30, the year before the upcoming Annual General Meeting. The Chairman of the Board is instructed to contact shareholders as below as soon as possible after September 30.
If any of the four shareholders with the largest number of votes chooses to waive their right to appoint a member of the Nomination Committee or may otherwise be considered to have waived such a right, the next shareholder shall in turn be given the opportunity to appoint a member of the Nomination Committee. No other shareholders need to be consulted unless this is required for the Nomination Committee to consist of at least three members.
It is the responsibility of the Chairman of the Board to convene the Nomination Committee.
